These Terms and Conditions apply to services provided by BOALIY Ltd, a company registered in England and Wales under number 15882700, with a registered office at 40 Alison Crescent, Sheffield, S2 1AS, ("Company", "we", "our", or "us").

These Terms apply to the purchase and use of any Online Course, training, or educational service. By clicking “Accept” at checkout, you agree to be bound by these Terms. If you do not agree, do not proceed with the purchase or use of our Services.

1. Definitions

  • "Course" means the online clinical orthodontics training programme and associated materials provided by us.

  • "Course Materials" means all online or downloadable content, videos, documents, and other intellectual property provided as part of the Course.

  • "Confidential Information" includes all proprietary or sensitive information, including patient scenarios, case data, or trade secrets disclosed during the Course.

  • "Fees" refers to the price paid by you for enrolment and access to the Course.

  • "Services" refers to the provision of access to our Online Course and Course Materials.

  • "You" or "Student" means the individual purchasing and/or accessing the Course.

2. The Services

2.1 A description of the Services are available on our Website. 

2.2 We reserve the right to vary, amend, or cancel any part of the Course, including schedule, content, or tutors, at any time, without prior notice.

2.3 You are responsible for assessing whether the Course meets your professional needs. We do not guarantee any specific clinical outcomes, patient results, or professional qualification.

3. Ordering Services

3.1 All Course purchases must be made through our Website. You must create an account using accurate details.

3.2 Your order constitutes an offer to purchase Services. Acceptance is subject to confirmation by us and successful payment.

3.3 A legally binding contract is formed once we send you an email confirming enrolment and receipt of Fees.

3.4 If you purchase multiple Courses, each will be treated as a separate contract.

4. Cancellation and Variation

4.1 You may cancel your purchase within 14 calendar days of enrolment for a full refund, provided you have not accessed significant Course content.

4.2 Refunds may be denied or prorated if you have consumed substantial Course content.

4.3 We reserve the right to cancel, reschedule, or alter the content or format of the Course at any time due to operational, academic, or other reasons.

5. Fees

5.1 Course Fees are listed at point of purchase and include VAT unless otherwise stated.

5.2 You must pay Fees in full unless an instalment plan is agreed. If you default on a payment, we may revoke your access without refund.

5.3 All card processing is handled via our secure payment providers. We are not liable for any charges imposed by your bank or provider.

6. Liability

6.1 Course content is for educational purposes only and does not constitute clinical or legal advice.

6.2 We are not liable for:

  • Any clinical decisions made based on Course content.

  • Loss of income, business interruption, or any indirect or consequential losses.

  • Course access issues beyond our control (technical downtime, third-party platform failure).

6.3 Our total liability is limited to the amount of Fees you have paid for the specific Course giving rise to the claim.

6.4 Nothing in these Terms limits our liability for death or personal injury caused by our negligence or other liability that cannot be excluded under English law.

6.5 No claim may be brought more than six months after the last date on which the Services concerned have finished or ceased to be provided by us.

7. Intellectual Property

7.1 All intellectual property in the Course and Course Materials belongs to us or our licensors.

7.2 You may not:

  • Copy, share, record, or distribute Course content.

  • Use content for your own commercial or teaching purposes.

  • Republish or adapt any part of the Course.

7.3 You receive a non-transferable, limited licence to use Course Materials solely for personal, professional development.

8. Confidentiality

8.1 You agree not to disclose any Confidential Information obtained during the Course, including proprietary methods, patient data, or peer discussions.

8.2 We may disclose Confidential Information only to necessary advisors or legal entities under strict confidentiality.

8.3 This clause remains in effect even after the termination of your access to the Course.

9. Termination

9.1 We reserve the right to immediately terminate your access and agreement if:

  • You breach these Terms.

  • You share or misuse Course content.

  • You act in a disruptive, abusive, or fraudulent manner.

9.2 No refund will be issued in the event of termination for misconduct or breach.

9.3 Access to Course content is subject to fair usage and may be removed after a reasonable access window.

10. Assignment

10.1 Access to the Course is personal to you and may not be shared, assigned, or resold.

10.2 We may assign, transfer, subcontract, or sell our rights or obligations under these Terms to third parties at our discretion.

11. Force Majeure

We are not liable for any delay, interruption, or failure to deliver Services due to causes beyond our reasonable control, including (but not limited to): fire, flood, illness of instructor, technical outage, strikes, war, pandemic, or legal restrictions.

12. Data Protection

12.1 By purchasing, you consent to us storing and processing your personal data in accordance with applicable data protection laws including the UK GDPR.

12.2 We collect necessary data for registration, communication, delivery of Services, and security monitoring.

12.3 Your data may be stored or processed by third parties (e.g. payment processors or learning platforms) under strict confidentiality.

12.4 You may request access, correction, or deletion of your personal data at any time by contacting us.

13. Fair Use Policy

13.1 You must not abuse access to Course content, coaching, or support by making unreasonable demands that impair the experience for others.

13.2 We reserve the right to define what constitutes fair usage and may limit or revoke access if usage exceeds acceptable limits.

14. Law and Jurisdiction

These Terms are governed by English law. Any disputes shall be resolved in the courts of England and Wales, to which all parties irrevocably submit.
